These General Terms and Conditions (GTC) apply to all orders placed by consumers via the A2Stock online shop. These General Terms and Conditions (GTC) apply to all orders placed by entrepreneurs via the A2Stock B2B online shop.
B2C - § 1 Scope of Application
(1) These General Terms and Conditions (GTC) apply to all orders placed by consumers (§ 13 BGB) via our online shop.
(2) Deviating terms and conditions of the customer shall not apply unless we have expressly agreed to their validity.
B2C - § 2 Contracting Party, Conclusion of Contract
(1) The purchase contract is concluded with Andrii Koriakin, Goldammerweg 13, 50829 Köln, hello@a2stock.de, Tel. +491792242263.
(2) The presentation of products in the online shop does not constitute a legally binding offer, but an invitation to place an order.
(3) By clicking the "Buy" button, the customer places a binding order for the products contained in the shopping cart. The contract is concluded when we accept the order by confirmation email immediately after sending it.
B2C - § 3 Prices and Shipping Costs
(1) All prices are in Euro including the statutory value-added tax (VAT).
(2) Shipping costs may apply in addition to the stated prices. These will be clearly communicated during the ordering process.
B2C - § 4 Delivery
(1) Delivery is made within Germany.
(2) Unless otherwise stated, the delivery time is 3–7 business days after receipt of payment.
(3) If not all ordered products are in stock, we are entitled to make partial deliveries, provided this is reasonable for the customer.
B2C - § 5 Payment
The following payment options are available in the online shop:
• Payment in advance (Vorkasse)
• PayPal
• Credit card
• Stripe (Klarna, Sofort, etc.)
B2C - § 6 Retention of Title
The goods remain our property until full payment is completed.
B2C - § 7 Right of Withdrawal
(1) Consumers have a statutory right of withdrawal of 14 days.
(2) The details are set out in the cancellation policy (Widerrufsbelehrung), which is made available to the customer before the contract is concluded.
B2C - § 8 Warranty
(1) Statutory warranty rights apply to consumers.
(2) The warranty period is two years from delivery of the goods.
B2C - § 9 Liability
(1) For claims based on damages caused by us, our legal representatives, or vicarious agents, we shall always be liable without limitation in cases of: injury to life, body, or health; intentional or grossly negligent breach of duty.
(2) In the event of a breach of material contractual obligations, we shall only be liable for the contractually typical, foreseeable damage, unless intent or gross negligence is present.
(3) Otherwise, claims for damages are excluded.
B2C - § 10 Dispute Resolution
The European Commission provides a platform for online dispute resolution (ODR), which can be reached at https://ec.europa.eu/consumers/odr/.
We are neither obliged nor willing to participate in dispute resolution proceedings before a consumer arbitration board.
B2C - § 11 Final Provisions
(1) The law of the Federal Republic of Germany shall apply, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
(2) Should individual provisions of these GTC be invalid, the validity of the remaining provisions shall remain unaffected.

B2B - § 2 Contracting Party, Conclusion of Contract
(1) The purchase contract is concluded with Andrii Koriakin.
(2) Our offers are non-binding. A contract is only concluded upon our written order confirmation or delivery.
B2B - § 3 Prices and Terms of Payment
(1) All prices are net prices, plus the applicable statutory value-added tax (VAT).
(2) Unless otherwise agreed, invoices are due for payment within 14 days without any deduction.
(3) The customer may only offset claims that are undisputed or have been legally established.
B2B - § 4 Delivery, Transfer of Risk
(1) Delivery periods are non-binding unless expressly agreed otherwise in writing.
(2) The risk passes to the buyer at the latest upon handover of the goods to the forwarder/carrier.
B2B - § 5 Retention of Title
We reserve ownership of the delivered goods until full payment of all claims arising from the ongoing business relationship.
B2B - § 6 Warranty
(1) The warranty period is one year from delivery of the goods.
(2) Excluded from this are claims for damages due to injury to life, body, or health, as well as in cases of gross negligence; the statutory periods apply here.
(3) Obvious defects must be reported in writing immediately, at the latest within 7 days after delivery.
(4) In the event of defects, we shall, at our discretion, provide remedy through rectification of the defect or replacement delivery. If the remedy fails, the customer may reduce the purchase price or withdraw from the contract.
B2B - § 7 Liability
(1) For claims based on damages caused by us, our legal representatives, or vicarious agents, we shall be liable without limitation in cases of intent and gross negligence.
(2) In the event of a breach of material contractual obligations, we shall be liable for simple negligence, but only for the contractually typical, foreseeable damage.
(3) Otherwise, claims for damages are excluded.
B2B - § 8 Place of Performance, Jurisdiction, Governing Law
(1) The place of performance for deliveries and payments is Goldammerweg 13, 50829 Köln, Deutschland.
(2) The place of jurisdiction for all disputes is Köln (Cologne), provided the customer is a merchant within the meaning of the German Commercial Code (HGB).
(3) The law of the Federal Republic of Germany shall apply, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).

(1) The law of the Federal Republic of Germany shall apply, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
(2) Should individual provisions of these GTC be invalid, the validity of the remaining provisions shall remain unaffected.
